Mr Marek Modecki

Aged 52. Higher Education. He achieved a degree of the University of Warsaw, in Law in 1982. He is a graduate of Max Plank Institute of Hamburg/ Germany, in International Law.

Since 1997, Mr. Marek Modecki had been a partner at Concordia . He was in charge of negotiations related to the sale of Agros SA to Period Ricard, Warta insuring company to KBC, the purchase of Multivita by the Coca-Cola Company, sale of Bank Pocztowy to PKO BP, while at the same time conducting transactions of Asseco Poland SA’s acquisitions in Denmark, France, Italy, Germany and Switzerland. In 2009 he supervised the sale of HTL – Strefa EQT Private Equity Fund.

As a Member of the Supervisory Board of Prokom Software SA, Mr. Modecki was responsible for prospecting in the scope of new international contracts of the company. He conducted talks with Asseco Poland in relation to the terms and conditions of the purchase of shares in Prokom Software SA.

From 2006 to 2009, he was employed as a Senior Banker, Member of the Supervisory Board of Concordia Espirito Santo Investment in joint venture with Portuguese Banko Espithrito Santo.

In 1990-1996 in Poland, together with Wojciech Fibak, he created a group of enterprises and he managed Polish press publishers, provided advice in the scope of purchase, and then supervised the sale of: Gazeta Poznańska to Passauer Neue Presse, Sport, Express Wieczorny, Sztandar Młodych – domestic dailies, being sold to JM Verlagrgruppe further on. After the sale of newspaper, Marek Modecki supervised on behalf of Socpresse SA the process of purchase of a majority block of shares and then the sale of Prespublika SA, a leading Polish publisher of "Rzeczpospolita” daily, to the Orkla Commercial Group, Norway.

In 1992-1998, employed as a proxy at Hilfer GmbH in Hamburg, he provided advice among others to Stinnes AG in the scope of investment financing for Huta Zawiercie, Quelle AG, on establishment of a shipment company at its Polish branch, and he also negotiated a reduction of liabilities towards London and Paris Club.

Marek Modecki is a Member of the Supervisory Board of Pegas Nonwovens SA, Petrolinvest SA, and he is also a director at TIGA International Holding SA, a function preceded by the post of a Member of Supervisory Board, held by him at Agros SA, Clif SA, Atlantis SA, Metalexport SA, Prokom Software SA, Concordia Espirito Santo Investments Sp. z o.o.

Mr Marek Modecki has full command of English and German.
Mr Marek Modecki does not conduct any activity competitive to the activity pursued by the Company, neither he is listed in the Registry of Insolvent Debtors, maintained on the basis of the Act on NCR.
